Terms of Service

01 Acceptance of Terms

By accessing or using the Kylix Agent platform and its related services (“Service”) operated by Aivo Solutions LLC (“Company,” “we,” “our,” or “us”), you (“User” or “you”) agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and Aivo Solutions LLC.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Service. Your continued use of the Service following any updates to these Terms constitutes your acceptance of the revised Terms.

02 Description of Service

Kylix Agent provides an AI-powered customer messaging automation platform that integrates with Meta's Graph API to automate responses to Instagram Direct Messages and Facebook Messenger conversations on behalf of business users. The Service includes brand training, message automation, analytics, and related features as described on our website.

03 Eligibility and Account Registration

To use the Service, you must: (a) be at least 18 years old; (b) have the legal authority to enter into this agreement on behalf of yourself or your organization; (c) have a valid Instagram Business account or Facebook Page; and (d) comply with Meta's Terms of Service and Platform Policies.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

04 Meta Platform Compliance

Your use of the Service is subject to Meta's Platform Terms, Messaging Policy, and any other applicable Meta policies. You represent and warrant that:

• You have the authority to connect your Instagram Business account and/or Facebook Page to the Service.
• You will use the Service only to send messages that comply with Meta's Messaging Policy, including restrictions on promotional messaging, message frequency, and prohibited content.
• You will not use the Service to send spam, unsolicited messages, or messages that violate any applicable anti-spam laws.
• You understand that Meta may suspend or revoke API access at any time, and the Company is not responsible for any such actions by Meta.

05 Subscriptions, Fees, and Billing

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to modify our pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide reasonable notice before any price increase.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

06 Acceptable Use Policy

You agree not to use the Service to:

• Send messages that are illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Violate any applicable local, national, or international law or regulation.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Transmit viruses, malware, or any other malicious code.
• Attempt to gain unauthorized access to the Service or any connected systems.
• Use the Service for any purpose that violates Meta's Platform Policies.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate your account immediately if you violate this policy.

07 Intellectual Property

The Service and its original content, features, and functionality are owned by Aivo Solutions LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

You retain ownership of all content you upload to the Service, including brand documents and messaging content. By uploading content, you grant us a limited license to use, process, and display that content solely to provide the Service to you.

08 Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

09 Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIVO SOLUTIONS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11 Indemnification

You agree to indemnify, defend, and hold harmless Aivo Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12 Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

14 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the effective date at the top of this page and, where appropriate, notifying you by email. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
